Refugio AI provides AI-powered tools, workflows, and software solutions designed to support business operations, automation, and decision-making.

3. Eligibility & Accounts

• You must be at least 18 years old and legally capable of entering into a contract.

• You agree to provide accurate and complete account information.

• You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

4. Acceptable Use

You agree not to:

• Use the Services for unlawful or fraudulent purposes

• Reverse engineer, copy, or attempt to extract source code

• Interfere with or disrupt the Services or infrastructure

• Use automated systems (bots, scrapers) without permission

• Violate any applicable laws or regulations

Violation of these terms may result in suspension or termination of your access.

5. Intellectual Property

All content, software, and materials provided through the Services (“Content”) are owned by Refugio AI or its licensors and are protected by intellectual property laws. 

You are granted a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.

You may not:

• Sell or sublicense access to the Services

• Use our trademarks without permission

6. User Data & Outputs

• You retain ownership of data you submit to the Services (“User Data”).

• You grant Refugio AI a license to process and use your data to provide and improve the Services.

• AI-generated outputs are provided “as-is,” and you are responsible for reviewing and validating them before use.

7. Payments & Subscriptions

• Certain features may require payment or subscription.

• Fees are billed as agreed at signup and are non-refundable unless stated otherwise.

• We may change pricing with prior notice.

Failure to pay may result in suspension or termination of Services.

8. Third-Party Services

The Services may integrate with third-party tools or links. We are not responsible for their content, availability, or practices. 

9. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis.

We make no warranties regarding:

• Accuracy or reliability of outputs

• Availability or uptime

• Fitness for a particular purpose

Use of the Services is at your own risk. 

10. Limitation of Liability

To the fullest extent permitted by law, Refugio AI shall not be liable for:

• Indirect, incidental, or consequential damages

• Loss of profits, data, or business opportunities

Our total liability will not exceed the amount you paid to us in the 12 months preceding the claim. 

11. Indemnification

You agree to defend, indemnify, and hold harmless Refugio AI and its affiliates from any claims, damages, or expenses arising from:

• Your use of the Services

• Your violation of these Terms

• Your infringement of any third-party rights

12. Termination

We may suspend or terminate your access at any time if you violate these Terms or pose a risk to the platform.

Upon termination:

• Your right to use the Services ends immediately

• Certain provisions (e.g., liability, indemnity) will survive

13. Dispute Resolution & Arbitration

Any disputes arising from these Terms will be resolved through binding arbitration, rather than court proceedings, except where prohibited by law. 

You waive the right to participate in class-action lawsuits.

• Continued use of the Services constitutes acceptance of updated Terms 

15. General Provisions

• These Terms constitute the entire agreement between you and Refugio AI

• If any provision is found unenforceable, the remaining provisions remain valid

• You may not assign these Terms without our consent

• We may assign these Terms without restriction
